TAKE IT!

The very, very worst that can happen is that the company will be unsuccessful but you will have had a more prestigious job title, experience in another field, and could possibly do a lateral transfer to another company doing something similiar if you had the experience on your resume. 

Otherwise, you can stay in a job that you hate that is rapidly becoming obsolete, slowly becoming more miserable year by year just watching the world pass you by.  (grin)
